Mergers & Acquisitions Coordinator
Reports to
            CEO – Ray Isaac       
Principal Purpose of Job
To coordinate, facilitate, and manage the merger and acquisition process of selected targets, including but not limited to operations, financial, legal, and environmental due diligence.  Position will be responsible for the process deal flow from Pre-LOI to closing, and beyond, in the facilitation of integration and assimilation.
Primary Responsibilities
  • Sourcing & Pre-LOI Target Identification
    • Involvement in pre-screening & screening process of potential targets
    • Monitor and track initial stages of targets using internal project management software
  • Bid (LOI) Submission
    • Review introductory bid and complete target memo
    • Execute and submit Letter of Intent
  • Final Business Due Diligence
    • Complete Open Diligence
    • Final Memo submission for approval
  • Execution
    • Q of E process oversight & coordination
    • Legal/HR/Tax Insurance oversight & coordination
    • Purchase agreement review & negotiation
    • Close and Fund
Secondary Responsibilities
  • Provide support for due diligence activities across all functional areas of any transaction
  • Communication to targets and mergers and acquisition team in order to properly schedule interactions
  • Compile due diligence integration plans and support market research
  • Coordinate internal resources and third parties/vendors for seamless execution of deal
  • Data tracking & updating so to maintain consistency in life cycle of the deal
  • Participation in mergers & acquisition tracking meetings with entire team
  • Responsible for maintaining knowledge of the activities of the mergers and acquisition team
  • Full implementation of new processes and procedures to improve efficiencies in our acquisition process
  • Produce monthly reports for mergers and acquisition team to track goal progress
  • Lead role for specific strategic projects and targets
  • Oversee entire process from initial meeting to close including coordination with legal and financial consultants
  • Utilize industry best practices, techniques, and standards throughout acquisition process
  • Update daily and weekly trackers of targets
  • Provide administrative support as necessary during integration process
  • Other duties as assigned
Travel Requirements:
This position will require some travel: including local, statewide, and out-of-state.


Necessary Skills
  • Bachelor’s degree or commensurate experience required
  • 3 years of experience with direct or active involvement/engagement of mergers, acquisitions, divestitures or commensurate experience required
  • Candidate must have experience in handling acquisitions in a corporate roll, including legal, financial, due diligence, quality of earnings, environmental, representations and warranties, deal evaluation, business assessment, coordination and facilitation of outside participants and consultants
  • Financial institution background preferred
  • Purchase agreement experience a plus
  • Superior communication skills, both written and verbal
  • Excellent computer skills with an emphasis on data entry and the Microsoft Office Suite of products
  • Excellent organizational skills, a sense of urgency and the ability to accurately multi-task
  • Ability to meet deadlines while maintaining superior quality and accuracy
  • Attention to detail is a must
  • Excellent leadership skills and the ability to work independently and take charge when needed
  • Proven ability to complete projects according to outlined scope, budget and timeline
Physical requirements:
  • Talking (frequent).  Expressing or exchanging ideas by means of the spoken word.
  • Hearing (constant).  Perceiving the nature of sounds at normal speaking levels with or without correction.  Ability to receive detailed information through oral communication, and to make the discrimination in sound in order to successfully troubleshoot equipment.
  • Seeing (constant).  Ability to see in the following manner with or without corrective lenses: ability to read/see near or far, judge distances, and identify colors.
  • Adapting to temperature (frequent). Ability to work in hot or cold environments either inside or outside of the business.
  • Climbing (frequent).  Ascending or descending ladders while transporting tools and equipment (including not having a fear of heights).
  • Kneeling/squatting (frequent).  Bending legs at the knee to come to rest on knee or knees.
  • Standing (frequent).  For sustained periods of time on hard surfaces.
  • Walking (frequent).  Moving on or about on foot to accomplish tasks.
  • Sitting (frequent). Ability to drive to and from client locations.
  • Pushing/pulling/reaching/grasping (frequent).  Using upper extremities to exert force in order to push, pull, draw, haul, or tug objects in a sustained motion.  Ability to type is also required.
  • Lifting (frequent).  Raising objects from a lower to higher position or moving objects horizontally from position to position up to 30 lbs.  Requires use of upper extremities and back muscles.
  • Attendance and punctuality (regular/predictable).  Regular/predictable attendance and punctuality for this position is required
